1. The transfer of the liquor license is subject to the approval of the Baltimore City Liquor Board and is not a condition for settlement.

2. This sale is subject to a 15 day "Right of First Refusal" for the LBD-7 BWL License.

3. This sale is subject to the approval of the Purchaser as a new Tenant by the Current Landlord.

A deposit in the form of cash, cashier's check or certified check for $10,000 is due at the time and place of sale. The difference to bring the deposit up to 10% of the purchase price is due within 3 business days after the date of sale in the auctioneer's office. Settlement is 45 days from the date of sale. The Purchaser will pay interest on the unpaid portion of the purchase price from date of sale to date of settlement at the rate of 10% per annum. If payment of the balance of the purchase price is not paid within the specified period, the deposit will be forfeited and the property may be resold at the risk and expense of the defaulting purchaser. All expenses are to be adjusted to date of sale and assumed thereafter by the purchaser. The goods and chattels will be sold subject to all existing agreements and/or restrictions, if any. Time is of the essence as to the terms of this contract.
